The short version
- Intillia is a business-to-business service for electrical wholesalers. These terms are between INTILLIA LTD and the business that subscribes.
- Intillia drafts quotes; your staff are responsible for checking and approving them before they are sent.
- Your data stays yours. We process it only to provide Intillia, under our data processing agreement.
- English law applies.
1. About these terms
These terms govern the use of Intillia, the quoting service provided by INTILLIA LTD (company number 17378577, registered office 20 Fieldfare Way, Ashton-Under-Lyne, England, OL7 9TA) ("Intillia", "we", "us"). They form a contract between us and the business that subscribes ("Customer", "you"), together with any order form or proposal we agree with you (the "Order") and our data processing agreement. If the Order conflicts with these terms, the Order wins.
Intillia is for business use only. By accepting these terms for a business, you confirm you have authority to bind it. Consumer protection rules for individuals acting outside a business do not apply.
2. The service
- Intillia helps you turn customer enquiries (for example by email, WhatsApp or upload) into draft quotes. It matches requested items to products, prices them from your data, and helps you send and follow up quotes.
- A subscription is normally for one branch, which is one organisation in Intillia, with its own catalogue, customers and settings. The Order sets out what is included.
- Some features depend on what your connected systems support, such as your ERP's API version or your email provider. Intillia shows which features are available and why.
- We may improve and change Intillia over time. We won't make changes that materially reduce the core service you subscribed to during a paid term without telling you in advance.
- Features described as preview, pilot or beta are provided as they are, may change or be withdrawn, and are not covered by any service levels.
3. Accounts and your staff
- You decide who in your business gets access, and you are responsible for what your users do in Intillia.
- Keep sign-in details secure and tell us promptly at team@intillia.com if you suspect unauthorised access.
- Your administrators control settings such as approval rules, follow-ups and automatic actions.
4. Quotes and your responsibilities
- Intillia produces drafts. Product matching, prices, stock information and other suggestions can be wrong or out of date, including where they come from your own systems or third-party data. You are responsible for reviewing and approving quotes, orders, invoices and messages before they are sent, and for the prices and commitments you give your customers.
- If you switch on automatic sending (for example, automatic follow-ups), you are responsible for that choice and for the content of the templates you approve.
- You must have the right to give us the data you connect or upload, and a lawful basis for us to process it on your behalf. That includes telling your customers and suppliers how their data is used and, for WhatsApp, meeting WhatsApp's opt-in requirements.
- You must comply with the terms of the third-party services you connect.
5. Acceptable use
You must not, and must not let anyone else:
- use Intillia unlawfully, to send spam, or to send messages to people who haven't agreed to receive them;
- upload malicious code, or try to break, overload, probe or bypass Intillia's security;
- access another customer's data, or try to;
- copy, resell or reverse engineer Intillia, or use it to build a competing product, except where the law allows;
- scrape or bulk-extract product data that Intillia makes available from third-party sources, beyond what your licence to that data permits.
We may suspend access if it's reasonably necessary to protect Intillia, other customers or the law. Where we can, we'll tell you first and restore access once the issue is fixed.
6. Third-party services and data
- Intillia connects to services you choose, such as Microsoft 365, Gmail, WhatsApp and your ERP system. Your use of them is governed by their terms, and we aren't responsible for their availability or for changes they make.
- Product information from industry data sources (for example, EDATA) is made available under those providers' terms and any licence you hold. It is not exported from Intillia.
7. Fees and payment
- Fees, billing frequency and the subscription term are set out in the Order. Fees are per subscription (normally per branch) and exclude VAT, which is added at the applicable rate.
- Invoices are payable within 30 days unless the Order says otherwise. If an undisputed payment is more than 30 days late, we may suspend the service after giving you 14 days' written notice.
- We may change fees at renewal by giving at least 30 days' notice before the renewal date.
8. Your data
- You keep all rights in the data you put into Intillia or connect to it ("Customer Data"). You give us the right to use it only to provide, secure and support Intillia for you.
- We may use aggregated, de-identified information about how Intillia is used (for example, how often features are used) to run and improve the service. It will not identify you, your customers or any individual.
- We do not use Customer Data to train general-purpose AI models. Corrections your staff make may improve results for your own organisation.
9. Data protection
When we process personal data on your behalf, you are the controller and we are the processor. Our data processing agreement (available on request from team@intillia.com) forms part of these terms and sets out the requirements of Article 28 of the UK GDPR, our sub-processors and our security measures. Our privacy policy explains how we handle personal data where we are the controller.
10. Confidentiality
Each of us will keep the other's confidential information confidential, use it only for this contract, and protect it with reasonable care. This doesn't apply to information that is public, already known, independently developed or lawfully received from someone else, or where disclosure is required by law.
11. Intellectual property
We, or our licensors, own Intillia and all rights in it, including the software, product intelligence and improvements to them. During your subscription we grant you a non-exclusive, non-transferable right for your users to use Intillia for your internal business purposes. If you send us feedback, we may use it freely.
12. Availability and support
We aim to keep Intillia available and to fix problems promptly, and we provide support by email at team@intillia.com. Any specific service levels are set out in the Order. We may carry out planned maintenance, and will try to schedule it outside UK working hours.
13. Warranties
We will provide Intillia with reasonable skill and care. Apart from that, and to the extent the law allows, Intillia is provided without any other warranties, conditions or terms, whether express or implied, including as to fitness for a particular purpose or that it will be error-free or uninterrupted.
14. Liability
- Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot legally be limited.
- Neither of us is liable for loss of profits, revenue, business, goodwill or anticipated savings, or for any indirect or consequential loss.
- Subject to the first point, each party's total liability arising from or in connection with these terms in any 12-month period is limited to the fees paid and payable by you in that period.
- We are not liable for prices, products or commitments in quotes, orders or messages that you or your staff approved or chose to send automatically.
15. Term and termination
- The subscription runs for the term in the Order and then renews for the same period, unless either of us gives notice before the renewal date as set out in the Order (or 30 days' notice if the Order is silent).
- Either of us may end the contract immediately by notice if the other materially breaches it and doesn't fix the breach within 30 days of being asked, or becomes insolvent.
- When the contract ends, your access stops. For 30 days afterwards you can ask us for an export of your Customer Data. We then delete Customer Data within 90 days of the end date, except where the law requires us to keep it (for example, invoices for 6 years).
16. General
- Changes to these terms: we may update these terms. For existing customers, changes take effect at the next renewal unless they're needed for legal or security reasons, in which case we'll give reasonable notice.
- Events outside our control: neither of us is liable for delay or failure caused by events beyond reasonable control.
- Assignment: neither of us may transfer this contract without the other's consent, except to a buyer of all or most of the relevant business.
- Entire agreement: these terms, the Order and the data processing agreement are the whole agreement between us about Intillia.
- Third parties: no one else has rights under this contract under the Contracts (Rights of Third Parties) Act 1999.
- Notices: by email to the addresses in the Order, or to team@intillia.com for us.
- Law and courts: these terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
